Terms of Service

These Terms of Service (“Terms”) govern access to and use of Qualigio (the “Services”), provided by SomePass (“we”, “us”). The Services are available on https://www.qualig.io and related subdomains, including institutional workspaces.

These Terms are written for educational institutions and organizations (workspace admins, cohorts, courses/projects, assessments). For personal data processing terms, see the Privacy Policy and the DPA.

1. Definitions

  • Workspace: an institution-specific space (branding, cohorts, users, content, projects) operated by an organization/institution.
  • Administrator: a user authorized by the institution to manage Workspace settings, invitations, roles, and governance.
  • Instructor: a user managing learning activities (courses, projects, rubrics, feedback, assessments).
  • Learner: a user participating in activities, producing deliverables, taking quizzes.
  • Content: materials created, uploaded, or displayed in a Workspace (courses, projects, rubrics, submissions, files, comments, messages).

2. Services

The Services support problem- and project-based learning workflows (including iterative improvement loops), authoring (Markdown/LaTeX/Mermaid), collaboration, assessment artifacts (rubrics), and optional integrations.

We may add, modify, or discontinue features. If a change materially affects paid Services, we will provide reasonable notice.

3. Accounts & eligibility

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for your credentials and for all activities performed under your account.
  • Where learners are minors, access must be organized and supervised by the institution and/or legal guardians as required by applicable law.

4. Workspace governance (institutions)

Workspace Administrators control configuration, invitations, roles, and content governance. The institution is responsible for ensuring its use complies with applicable laws and internal policies.

  • Access management: the institution manages onboarding/offboarding and role assignment.
  • Content governance: the institution defines what is published, assessed, archived, or shared with partners.
  • Partner collaboration: partner users may participate under their own organization’s space where applicable (domain/branding separation).

5. Acceptable use

You agree not to:

  • Use the Services unlawfully, or violate third-party rights (privacy, IP, confidentiality).
  • Attempt to bypass security, scrape data, probe, scan, reverse engineer, or disrupt availability.
  • Upload malware or harmful code, or misuse execution features (e.g., Python environments) for abusive purposes.
  • Publish content that is illegal, harassing, hateful, discriminatory, or otherwise harmful.
  • Access the Services through automated means that impose an unreasonable load or bypass rate limits.

6. Content & intellectual property

  • Your Content: you (or your institution) retain ownership of Content you create or upload.
  • License to operate: you grant us a limited, non-exclusive license to host, process, transmit, and display Content solely to provide and secure the Services.
  • Our IP: we own the Services, software, designs, trademarks, and related intellectual property.

If you submit feedback or suggestions, you grant us the right to use them to improve the Services without obligation to you.

7. Third-party tools & integrations

You may connect integrations (e.g., GitHub, Autodesk Fusion 360, VRChat). Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services’ availability, security, or compliance.

8. Paid plans, billing, cancellation

If you subscribe to paid plans, applicable commercial terms (pricing, invoicing, renewal, cancellation) are presented at purchase time and/or in an order form. Taxes (e.g., VAT) may apply.

Unless required by law or explicitly stated otherwise, fees are non-refundable once the billing period starts.

9. Data protection

Our privacy practices are described in the Privacy Policy. For Workspace Data processed on behalf of an institution, see the DPA.

Availability & support

We aim for reliable service but do not guarantee uninterrupted availability. Maintenance, incidents, or third-party dependencies may cause interruptions. Support channels are available via the contact form.

Termination

We may suspend or terminate access if you violate these Terms or if necessary to protect security and integrity. Upon termination, Workspace Data handling follows the main agreement and the DPA (if applicable).

Disclaimers

The Services are provided “as is” and “as available”. To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages (loss of data, profits, goodwill). Our aggregate liability is limited to amounts paid for the Services in the 6 months preceding the event giving rise to the claim.

Governing law

These Terms are governed by the laws of France. Disputes are subject to Tribunaux compétents du ressort du siège social, unless mandatory rules provide otherwise.
